looks like it was a combination of the DIMM voltage (2.1 from 1.9)... the FSB Voltage (from 1.1 to 1.2V) and the tWR being set at 31 that did the trick.... becasue when i left the DIM voltage on 2.1 and lowered the FSB to 1.1v and lower the tWR to about 20 (5 + 15).... it errored out after a few passes... So, looks like i found the 'sweet' spot last night.

I will leave well enough alone!
